Plugin License Agreement
This Plugin License Agreement (“Agreement”) is concluded between You and the Developer with respect to the use of the Code Maestro Plugin (“Plugin”) available via JetBrains Marketplace.
1. Definitions
- "Developer" means Code Maestro Inc., the company incorporated in the State of Delaware, United States of America, with its registered address at: 919 North Market Street, Suite 950 in the city of Wilmington, zip code 19801, the entity providing the Plugin.
- "Plugin" means the Code Maestro plugin designed to operate with JetBrains Rider and related JetBrains Products.
- "Free Plugin" means that the Plugin is made available free of charge.
- "JetBrains" refers to JetBrains s.r.o., including its affiliates and platforms.
- "JetBrains Marketplace" refers to https://plugins.jetbrains.com or any other platform operated by JetBrains for distributing plugins.
- "You" means any individual or legal entity that uses the Plugin.
2. Grant of License
2.1 License Grant
The Developer grants You a limited, worldwide, non-exclusive, non-transferable, royalty-free, revocable license to:
- download, install, and use the Plugin on any number of JetBrains Products;
- use the Plugin solely for your internal use (personal or commercial purpose);
- make backup copies of the Plugin for archival purposes.
2.2 Restrictions on Use.
You may not:
- modify, decompile, reverse-engineer, disassemble, or attempt to derive the source code from the Plugin;
- sublicense, resell, lease, redistribute, transfer, assign, publish the Plugin in any form, otherwise make available the Plugin to any third party, including on or in connection with the Internet or any time-sharing, service bureau, software as a service, cloud, or other technology or service;
- access or use the Plugin in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any third party, or that violates any applicable law or regulation;
- use the Plugin to develop a competing product or service.
2.3 License Duration
This license is perpetual unless terminated by the Developer under the terms of this Agreement.
3. Intellectual Property
The Plugin is and shall remain the intellectual property of the Developer and its licensors.
The Developer acknowledges and warrants that it does not obtain any ownership interest in any applications that you may develop using the Plugin.
4. Disclaimer of Warranty
The Plugin is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.
There is no warranty that:
- the Plugin will be error-free or will operate without interruption;
- the Plugin will meet your requirements;
- any bugs or issues will be fixed.
You use the Plugin entirely at your own risk.
5. Limitation of Liability
In no event shall the Developer be liable for any indirect, incidental, consequential, special, or exemplary damages, including but not limited to lost profits, data loss, loss of goodwill or reputation, business interruption, consequential, indirect, special, punitive damages
The Developer’s aggregate liability under this Agreement shall not exceed the amount of zero (0) euros, as the Plugin is distributed free of charge.
JetBrains has no liability whatsoever regarding this Plugin, as JetBrains is not a party to this Agreement.
6. Termination
This Agreement shall be effective until terminated. You may stop using the Plugin at any time with or without notice. Further, if You want to terminate this Agreement, You must provide the Developer with a written notice and upon termination, stop all use of the Plugin. The Developer reserves the right to terminate this Agreement or discontinue the Plugin or any portion or feature therein or Your access thereto for any reason and at any time without liability or other obligation to You. Upon any termination of this Agreement or discontinuation of Your access to the Plugin, You will immediately stop using the Plugin and delete any cached data relating to the Plugin.
7. Governing Law and Venue
This Agreement is governed by the laws of the State of Delaware without regard to its conflict of laws provisions. You agree to personal jurisdiction by and exclusive venue in the state and federal courts sitting in the State of Delaware, with regard to any and all claims by or against You arising out of or relating to this Agreement.
